Abstract

Ochrana práva minoritních akcionářů na podíl na zisku Abstrakt Diplomová práce se zabývá ochranou práva minoritních akcionářů na podíl na zisku v akciové společnosti, a to v kontextu českého právního řádu. Právo na podíl na zisku představuje jedno z nejvýznamnějších majetkových práv akcionáře a jeho efektivní ochrana je zásadní pro motivaci drobných investorů k investování do akciových společností i likviditu kapitálového trhu. Práce si klade za cíl nejen analyzovat právní rámec a dostupné prostředky ochrany tohoto práva, ale také kriticky zhodnotit jejich praktickou účinnost a identifikovat slabá místa současné úpravy. První kapitola se věnuje teoretickému vymezení základních pojmů, postavení akcionáře a specifikům minoritních akcionářů v české akciové společnosti. Podrobně rozlišuje abstraktní a konkrétní právo akcionáře na podíl na zisku a popisuje podmínky pro rozdělení a výplatu podílu na zisku, včetně významu rozhodnutí valné hromady. Protection of Minority Shareholders' right to share in the profits Abstract This thesis deals with the protection of minority shareholders' right to a share in the profits of a joint-stock company in the context of Czech law. The right to a share in profits is one of the most important property rights of a shareholder, and its effective protection is essential for motivating small investors to invest in joint-stock companies and for the liquidity of the capital market. The thesis aims not only to analyze the legal framework and available means of protecting this right, but also to critically evaluate their practical effectiveness and identify weaknesses in the current legislation. The first chapter is devoted to the theoretical definition of basic concepts, the position of shareholders, and the specifics of minority shareholders in Czech joint-stock companies.
