Uvolněný podíl

Abstract

The subject of this master thesis is a released share. The paper is divided into 2 main parts which correspond with 2 main goals of this thesis - a detailed analysis of general provisions on a released share and analysis of the collision of provisions governing the released share and a share pledge. In the general part of the thesis, the released share is described thoroughly, as well as the process of how the companies have to deal with it. The structure of the general part follows the structure of the Business Corporations Act. Firstly, the released share is described, followed by the sale of released share with all its problems, settlement share and the process the company follows after the settlement share is paid out, i.e. the transfer of the released share to the remaining members or reduction of registered capital. In the general part of the thesis I also compare the effective legislation and the amendment of Business Corporations Act which is being prepared at the time of writing this paper and which could bring solutions to many problems arising out of the effective legislation. Diplomová práce se zabývá institutem uvolněného podílu. Práce je rozdělena do 2 částí, které odpovídají 2 základním cílům práce - detailnímu rozboru obecné úpravy uvolněného podílu a rozebrání střetu úpravy uvolněného podílu a zástavního práva k podílu. V obecné části je podrobně rozebrán uvolněný podíl, jakož i postup společnosti, která s ním musí naložit. Systematika obecné části odpovídá systematice zákona o obchodních korporacích. Nejdřív je popsán uvolněný podíl, poté prodej uvolněného podílu se všemi jeho problémy, vypořádací podíl a postup společnosti po vyplacení vypořádacího podílu, tj. přechod uvolněného podílu na společníky nebo snížení základního kapitálu. V obecné části také porovnávám platnou úpravu s navrhovanou novelou zákona o obchodních korporacích, která by mohla přinést řešení mnoha problémů současné úpravy. Ve zvláštní části, kterou považuji za klíčovou, se zabývám střetem úpravy uvolněného podílu a zástavního práva k podílu. Postupně jsou rozebrána práva zástavního věřitele k uvolněnému zastavenému podílu, a to se zaměřením na vypořádací podíl, a uplatnění zástavního práva k podílu, a to jak zpeněžení, tak nabytí uvolněného podílu zástavním věřitelem. Dále jsou rozebrány dopady postupu společnosti, která nakládá s uvolněným podílem, na zástavní právo na něm váznoucí, a důsledky...
