Abstract

Diplomová práce rozebírá pojem obchodní vedení. Jedná se o pojem, který spadá do působnosti statutárního orgánu. Jelikož se jedná o pojem, který není v právních předpisech definován, je v práci kladen důraz na to, co se do samotného pojmu zpravidla zařazuje, jak na něj pohlíží odborná literatura a judikatura. Zároveň je pojem vyčleněn od ostatních druhů rozhodování odehrávající se uvnitř obchodních korporací. Stejně tak je pojem zdůrazněn a odlišen jako opak jednání navenek společnosti. V diplomové práci dochází zejména ke komparaci pojmu s bývalou právní úpravou, kterou nahradily s účinnosti od 1.1 2014 dva nové soukromoprávní kodexy, zákon č. 89/2012 Sb., občanský zákoník a zákon č. 90/2012 Sb., o obchodních společnostech a družstvech. Část práce je též věnována exkurzu do právního stavu po přijetí novely obchodního zákoníku, zákona č. 351/2011 Sb., která přinesla zásadní změnu do obchodního vedení spočívající v úpravě pověření obchodním vedením. Obchodní vedení je v práci rozebráno z hlediska jeho funkce, kterou má v obchodní společnosti jako celku. Akcentována je zejména hranice mezi statutárním orgánem, kterému přísluší obchodní vedení, a nejvyšším orgánem obchodní společnosti z pohledu udělování pokynů ze strany nejvyššího orgánu společnosti. This diploma thesis examines the concept of business management. It is a concept that falls within the scope of the statutory body, one of the main and obligatory organs of business corporations. Since this is a concept which is not defined anywhere in the legislation, the thesis focuses on what the concept itself involves, and what on the other hand cannot be considered as a business management. The thesis also explains how it is seen in terms of professional literature and case law. The concept is also distinguished from other kinds of decision-making process that takes places inside (within) business corporations. This thesis compares particularly the former legislation which was replaced, with the effect from 1 January 2014, by the two main private codes, the Act No. 89/2012 Coll., the Civil Code and the Act No. 90/2012 Coll., the Act on Business Corporations. Those two codes are being a huge step for the Czech law in general and are bringing definitely some changes and news to the concept of business management. There is also mentioned the progress of business management in time in the final thesis.
