Ochrana hospodářské soutěže - dohody narušující soutěž

Abstract

Tato práce je zaměřena na problematiku dohod narušujících hospodářskou soutěž, tradičně označovaných jako kartely. Jedná se o různé formy výslovných i implicitních dohod mezi účastníky hospodářské soutěže, které mohou negativně ovlivnit hospodářskou soutěž a ve výsledku poškodit spotřebitele. Cílem práce bylo podat komplexní pohled na problematiku dohod narušujících hospodářskou soutěž z hlediska české i evropské hmotněprávní úpravy a zohlednit některé aspekty jejich praktického posuzování. Dalším cílem pak bylo zhodnotit možnosti postihu zakázaných dohod, a to jak postihu veřejnoprávního, tak i soukromoprávních nároků dohodou poškozených subjektů. Dílčím cílem bylo rovněž navrhnout některé možnosti budoucí úpravy. První kapitola je úvodem do problematiky a obsahuje vymezení cílů práce. Druhá kapitola pojednává o podstatě a pojmu dohod narušujících hospodářskou soutěž. Rovněž stručně vysvětluje, jaké negativní dopady mohou tyto dohody v praxi mít. Třetí kapitola vymezuje hranici mezi dohodami narušujícími hospodářskou soutěž a nezakázaným paralelním jednáním, a následně stručně charakterizuje vztahy mezi těmito dohodami a dalšími typy jednání, které jsou zakázány soutěžním právem, a sice zneužitím dominantního postavení a nedovoleným spojováním soutěžitelů. Protection of Economic Competition - Agreements Distorting Competition The topic of this thesis is agreements distorting economic competition, traditionally referred to as cartels. Cartels are various forms of explicit and implied agreements among participants in economic competition which are capable of affecting the competition in a negative way and result not only into damaging other competitors, but also mostly into damaging the consumers. The main purpose of this thesis is to present a comprehensive view on the issues of agreements distorting economic competition from the point of the Czech and European substantive legal regulation and take into account some aspects of their practical assessment. Another purpose was to evaluate the alternatives of sanctioning of the prohibited agreements, both public enforcement and private enforcement of claims of the subjects that suffered loss resulting from the agreements. A partial purpose was to suggest possible future regulation of chosen areas. Chapter One is an introduction and includes delimitation of aims of the thesis.
