Abstract

Obsah Tato práce si klade za cíl popsat a zhodnotit právní úpravu obchodního jména a obchodního tajemství v celé její šíři, napříč celým právním řádem. Zkoumáno je nejen právo obchodní, ale i právo občanské, trestní, správní a procesní. Dále je poukazováno na právní úpravu minulou, zejména prvorepublikovou a je provedeno srovnání s právními úpravami zahraničními. Praktické fungování těchto právních institutů je ilustrováno na judikatuře v těchto oblastech. Poněvadž se nacházíme ve stadiu rekodifikace nejen soukromého práva, bylo nutné rovněž upozornit na budoucí právní úpravu těchto institutů, zejména v právu občanském. V úvodní kapitole je popsán historický vývoj obchodního jména a obchodní firmy od právní úpravy Rakousko-Uherské až po současnost. Dále jsou v této kapitole rozebrány zásady práva k obchodnímu jménu a obchodnímu tajemství, kterými jsou potenciální ubiquita, absolutní charakter, neformálnost ochrany a časová neomezenost. Poslední část této kapitoly obsahuje zamyšlení nad právní povahou těchto institutů v současném právním řádu a navrhovanou úpravou v novém občanském zákoníku. Druhá kapitola se zabývá mezinárodním rámcem ochrany obchodního jména a obchodního tajemství. The theme of this PhD thesis is The Trade Name and Trade Secret. The aim of the thesis is to describe, analyze and review legal regulation of these in the Czech legal system. Doing this it is necessary to explore not only the Commercial Code (Obchodni zakonik), where both institutes are regulated, but also the civil, procedural, administrative and criminal law. Comparison with the foreign legal regulations, mainly the German, American and English, was made. How the law relating to those areas works in practice is illustrated on the judicature, not only present, but also the past one, for there is a loose link between the present regulation and the one of the First Republic. Because the Czech Republic is in the process of recodification of not only private, but also public law, regard was taken to the proposed legal regulation. The thesis is composed of seven chapters, each of them dealing with different aspects of the trade name and trade secret. Chapter One is introductory and describes the historical development of the trade name and trade secret in the Czech territory, from the times of Austria- Hungary to the present day.
