Enterpreneur. Business activity. Enterprise6 ABSTRAKT: Podnikatel, podnikání a podnik jsou základní a velmi důležité pojmy obchodního práva. Tyto pojmy jsou vzájemně propojeny. Hlavním pramenem upravujícím soukromoprávní vymezení této problematiky je obchodní zákoník (zákon č. 513/1991 Sb.). Výše uvedené pojmy však svým rozsahem přesahují soukromé právo, protože postavení podnikatele a podmínky provozování podnikání upravují normy veřejnoprávní. Z tohoto důvodu jsou tyto pojmy rovněž předmětem veřejného práva. Obecnou veřejnoprávní úpravu této problematiky nalezneme v živnostenském zákoně (zákon č. 455/1991 Sb.). Podnikatel je centrálním prvkem osobní působnosti obchodního práva. Obecné právní vymezení pojmu podnikatel nalezneme v části první obchodního zákoníku, podrobnější úprava některých podnikatelů je obsažena v části druhé tohoto zákona. Pojem podnikatel je obchodním zákoníkem vymezen v ustanovení § 2 odst. 2. Výkladem tohoto ustanovení lze vymezit určité obecné znaky podnikatele. Podnikatelem může být fyzická i právnická osoba, rovněž osoba tuzemská i zahraniční. Určující kritérium pro posouzení, zda určitá osoba je nebo není podnikatelem, netkví v soukromém právu, ale v právu veřejném. 6 SUMMARY: Enterpreneur, business activity and enterprise are fundamental and very important terms of the commercial law. These terms are closely linked to each other. The general source of the private regulation of this issue contains the Commercial Code (Act No. 513/1991 Coll.). These terms overreach with their content private law because the status of enterpreneurs and conditions for carrying on business activity are regulated by public law. Therefore these terms are also subject of public law. The general public regulation of this issue provides the Trade Licensing Act (Act No. 455/1991 Coll.) An Enterpreneur is the central element of the personal scope of the commercial law. The Commercial Code deals with enterpreneurs in Part One generally, specific legal regulations of some of the enterpreneurs are contained in Part Two. The term enterpreneur is defined in section 2 which lists in subsection (2) those who are considered to be enterpreneurs under the Commercial Code. From this subsection we can specify general characteristics of enterpreneur. An enterpreneur can be an individual (a natural person) or a legal entity, domestic or foreign person.
