Abstract

Legal Classification of Biomethane Certificates in the Czech Republic Abstract This thesis aims to analyse whether biomethane certificates, specifically guarantee of origin and proof of sustainability are classified as securities or book-entry securities under Czech law. The thesis further examines the specific characteristics of these certificates and whether they fulfil all statutory and doctrinal requirements of securities or book-entry securities. The primary focus of this thesis is on the guarantee of origin but proof of sustainability is also analysed albeit in smaller scope than guarantee of origin. The main questions addressed in relation to guarantee of origin is first, what rights are incorporated in guarantees of origin and whether they are of private or public nature. I further examine whether only private rights or public rights also can be incorporated in securities under Czech law. I further consider the question whether OTE, as the issuer of guarantees of origin, expresses the intent to issue guarantees of origin. And finally, I examine whether Czech law permits further exceptions from the rule that all book-entry securities need to be registered at the central depository. Právní povaha certifikátů biometanu v České republice Abstrakt Tato práce si vzala za cíl analyzovat, zda certifikáty biometanu, konkrétně záruka původu a doklad o udržitelnosti jsou dle českého práva klasifikovány jako cenný papír, nebo zaknihovaný cenný papír. Tato práce následně analyzovala konkrétní znaky těchto certifikátů a zda naplňují všechny zákonné a naukové znaky cenných papírů, či zaknihovaných cenných papírů. Primárně se práce zaměřila na znaky cenných papírů u záruky původu, ovšem analyzovala i znaky cenných papírů u dokladu o udržitelnosti. Hlavní otázky, kterými se tato práce zabývá u záruk původu nejprve je, jaká jsou práva obsažená v záruce původu. Zda záruky původu v sobě obsahují práva veřejné, či soukromé povahy. Dále otázkou, zda mohou být do cenných papírů vložena pouze práva soukromé povahy, nebo i práva povahy veřejné. Otázkou, zda OTE, jako vydavatel záruk původu projevuje vůli vydat záruku původu. A konečně otázkou, zda je českým právem umožněno evidovat zaknihované cenné papíry i jinde než u centrálního depozitáře. U dokladu o udržitelnosti se práce mimo jiné zabývala otázkami, zda se jedná o listinu, a v případě, že ano, zda jsou do této listiny inkorporována práva tak, že bez ní nelze tato práva vykonat.
