Abstract

Selected aspects of the legal regulation of persons participating in the operation of investment funds Abstract The master thesis deals with the legal regulation of persons participating in the operation of investment funds. Its aim is to characterize the persons of manager, depositary, prime broker and promoter, to describe their role in the infrastructure of the investment fund, to evaluate their practical functioning and to identify possible shortcomings in the legal regulation. The research method is primarily an analysis of Czech, European and, to a lesser extent, foreign legal regulations, including their cross-comparison, a review of the available Czech and foreign literature and a synthesis of the obtained findings followed by proposals de lege ferenda. The thesis is divided into five chapters. The first one briefly defines the concept of an investment fund and its basic classification. The second chapter deals with the person of the investment fund manager, presenting the entities carrying out this activity and the legal requirements they must meet. Vybrané aspekty právní úpravy osob, které se podílejí na činnosti investičních fondů Abstrakt Diplomová práce se věnuje právní úpravě osob podílejících se na činnosti investičních fondů. Jejím cílem je charakterizovat osoby správce, depozitáře, hlavního podpůrce a promotéra, přiblížit jejich roli v infrastruktuře investičního fondu, zhodnotit jejich praktické fungování a identifikovat případné nedostatky v právní úpravě. Výzkumnou metodou je primárně analýza české, evropské a v menší míře také zahraniční právní úpravy včetně jejich vzájemné komparace, rešerše dostupné české i zahraniční odborné literatury a syntéza získaných poznatků doplněná návrhy de lege ferenda. Diplomová práce se člení na pět kapitol. V první je stručně vymezen pojem investičního fondu a jeho základní členění. Druhá kapitola se zaobírá osobou správce investičního fondu, přičemž uvádí subjekty vykonávající tuto činnost a zákonné požadavky, které musí naplňovat. Dále se věnuje rozdělení role správce v českém právním prostředí na obhospodařovatele a administrátora a zkoumá, zda toto rozdělení našlo praktické uplatnění a přineslo očekávané přínosy.
