Abstract

Finančně právní aspekty fúzí a akvizic v private equity Abstrakt Tato diplomová práce se zabývá vybranými finančně právními aspekty fúzí a akvizic v private equity. Prvně rozebírá pojem private equity jako specifickou oblast střednědobého či dlouhodobého investování ze strany investorů, kterými mohou být jak soukromé holdingové společnosti, tak investiční fondy ve smyslu zákona č. 240/2013 Sb., o investičních společnostech a investičních fondech. V další části se práce věnuje termínu fúzí a akvizic, fenoménu dnešní doby, a to z hlediska jejich zasazení do kontextu českého právního řádu. V této části práce jsou dále popsány jednotlivé kroky standardního akvizičního procesu. Na to navazuje další část věnovaná derivátům. Diplomová práce se prvně zabývá obecnou charakteristikou derivátů a jejich dělení, na které navazují témata jako je účtování o derivátech, představení vložených derivátů, charakteristika akciových derivátů a následně praktická část, která se zabývá mechanismy vyskytujícími se v transakčně právních dokumentacích a následné hodnocení, zda tyto mechanismy naplňují znaky vloženého derivátu. Financial legal aspects of mergers and acquisitions in private equity Abstract This diploma thesis is focused on selected financial legal aspects of mergers and acquisitions in private equity. First, it analyzes the concept of private equity as a specific area of medium-term or long-term investments made by holding companies or investment funds in the sense of Act No. 240/2013 Coll., on Management Companies and Investment Funds. The next part deals with the term of mergers and acquisitions, a contemporary phenomenon, in the context of the Czech legal system. This part of the thesis further describes the individual steps of the standard acquisition process. This is followed by another section dedicated to derivatives. The diploma thesis first introduces the general characteristics of derivatives, followed by topics such as accounting of derivatives, introduction of embedded derivatives, characteristics of equity derivatives and then by the practical part, which deals with mechanisms in transaction documentation fulfilling the features of the embedded derivatives.
