Přímé zápisy do obchodního rejstříku notářem

Abstract

Rigorózní práce se zabývá přímými zápisy do obchodního rejstříku prováděných notářem, jakožto alternativou nesporného soudního řízení před rejstříkovým soudem. Hlavním cílem práce je analyzovat a zhodnotit tento model způsobu zápisu skutečností do jednoho z druhů veřejných rejstříků prostřednictvím důkladné analýzy veškerých předpokladů předepsaných příslušnými právními předpisy pro zápis do obchodního rejstříku provedený notářem, včetně srovnání vybraných aspektů celého procesu s dílčími kroky rejstříkového řízení. V prvé řadě práce zmiňuje historický exkurs popisující vývoj postavení notáře ve vztahu k obchodnímu rejstříku a v něm narůstající význam činnosti notáře, který zdůvodňuje krok zákonodárce svěřit pravomoc provádět přímé zápisy do obchodního rejstříku vedle soudů též notářskému stavu. Následující kapitoly se již věnují současné právní úpravě problematiky. Práce nejprve pojednává obecně o podstatě provádění přímých zápisů notáři. V následujících kapitolách je obsaženo jádro celé práce, a to analýza všech podmínek a formalit přípustnosti provedení zápisu do obchodního rejstříku notářem, kterými jsou existence tzv. podkladového notářského zápisu, žádost osoby aktivně legitimované k podání návrhu na zápis u rejstříkového soudu, předložení listin vyžadovaných pro zápis do obchodního rejstříku...

This thesis deals with the direct registrations in the Commercial Register performer by a notary, as an alternative to uncontested court proceedings at the registrar court. Main goal of this thesis is to analyse and assess this method of registering facts in one of the types of public registers through a thorough analysis of all requirements for a registration in the Commercial Register by a notary laid down by relevant legislation, including a comparison of selected aspects of the whole process with partial steps of the register procedure. First of all, the thesis presents a historical excursus describing the development of the position of a notary in relation to the Commercial Register and the growing importance of notary activities, which justifies the legislator's decision to entrust the competence to perform direct registrations in the Commercial Register to the notaries.
