Abstract

Název diplomové práce: Monistická organizační struktura akciové společnosti v české a anglické úpravě Tato práce se zabývá komparací úpravy monistické organizační struktury akciových společností v rámci tří úprav - české platné úpravy, českého návrhu zákona o obchodních korporacích a anglické úpravy. Cílem práce je prostřednictvím komparace získat poznatky ke kritickému hodnocení návrhu českého zákona o obchodních korporacích. V jejich kontextu poukázat na přednosti, nebo naopak nedostatky nové úpravy a pokusit se navrhnout řešení. Cílem zkoumání jsou také instituty anglického práva ve vztahu k jejich případné vhodnosti pro implementaci do české právní úpravy. Práce je rozdělena do pěti kapitol. První kapitola definuje pojmy corporate governance a monistické organizační struktury a představuje je v jejich historickém kontextu. Kapitoly druhá, třetí a čtvrtá popisují a analyzují hlavní znaky a instituty specifické pro dané jurisdikce. Konečně kapitola pátá se zabývá komparací úprav, argumentací sporných otázek a vyvozováním obecnější závěrů. Důraz práce je na kapitole páté. Práce užívá v kapitole první výhradně metodu deskriptivní. V kapitole druhé, třetí a čtvrté jsou použity metody deskriptivní a analytická a v kapitole páté převážně metoda komparativní a syntetická. Thesis title: One-tier organisational structure of Czech joint-stock companies and British public limited companies The thesis deals with the comparison of legal frameworks of one-tier organisational structure of joint-stock companies under - current Czech law, the Czech Business Corporations Bill of and English law. The aim of the thesis is to gather knowledge through comparison for critical evaluation of the Czech Business Corporations Bill. The advantages or, on the contrary, disadvantages of new regulation should be shown in the context of the gathered knowledge and the solution should be suggested. And also the aim of the research the institutes of English law are and their possible appropriateness for implementation into the Czech law. The thesis is divided into five chapters. First chapter defines terms of corporate governance and one-tier organisational structure presenting them in their historical context. The second, the third and the fourth chapter describe and analyze main features and institutes which are specific for given jurisdictions. At the end the fifth chapter deals with the comparison of regulations, argumentation of disputable questions and deduction of more common conclusions.
