Operace s cennými papíry a jejich právní úprava

Abstract

ZÁVĚR Právo cenných papírů a navazující regulace kapitálového (finančního) trhu je velmi složitou a nepřehlednou částí práva. Je to dáno zejména velkým množstvím zákonů a jiných právních předpisů, dynamikou vývoje právní úpravy obchodování s nimi především evropské provenience i beze sporu častých legislativních opomenutí a chyb. Protože se operace s cennými papíry přímo vztahují k socioekonomickému systémů, jež označujeme jako kapitalismus (není mu snad nic více vlastní než operace s cennými papíry na finančním trhu), má česká právní úprava poměrně krátkou tradici, z čehož vychází většina nesnází a s čímž je spojen zatím ne příliš rozvinutý a ustálený stav judikatury vztahující se k tomuto tématu. Již samotný pojem "cenný papír" ovšem i v právních systémech s dlouhou tradicí stále činí výkladové problémy, což poukazuje na složitost problematiky cenných papírů. Lze totiž tvrdit, že nejlepším způsobem vymezení termínu "cenný papír" je právě analýza možného nakládání s ním, tedy operací s cennými papíry. Do budoucna lze očekávat, že se množina operací s cennými papíry bude dále rozšiřovat, zejména díky progresivním investičním nástrojům derivátového typu. Securities Operations and the Legal Regulation SUMMARY The subject matters of this thesis are securities operations from the legal point of view. The aim of the thesis is to analyse particular issues concerning securities but predominantely in its complexity than in detail scope due to limits put by the purposes of this theme. As the capital (financial) market has been devoloping dynamically, the theme of the thesis could be concerned very interesting and important. Czech legal regulation of securities has several terminological discrepancies, the priority over the others takes just term securities, which can be still hardly defined. The leading chapter introduces general legal aspects of securities, which can be also denominated as investment financial instrument. Two main laws should be mention, The Act on Securities No. 591/1992 Coll. and Act No. 256/2006 Coll. The second chapter analyses new legal regulation of uncertificated securities and their record keeping as the czech system is approximating to more regular european one, in other words the shift from Central Register of Securities to central depository.
