Abstract

Proceedings in Commercial Register Matters Abstract The topic of this diploma thesis is the proceedings in commercial register matters, i.e. proceedings before civil courts on the entries of legally relevant facts in the commercial register. The commercial register is an important institute, especially for business relations involving entrepreneurs, which ensures the transparency of the entrepreneur through the registration of their relevant information and further makes such information publicly available to third parties. In addition to the option of contacting a notary, it is also possible to achieve the required registration in the commercial register through legal proceedings before the civil (so-called register) courts that decide on them. The ambition of this thesis is to describe, analyse and critically evaluate the existing legal regulation of proceedings in commercial register matters, or the current legal status of its important institutes, as well as to point out controversial issues and outline their possible solutions. Řízení ve věcech obchodního rejstříku Abstrakt Tématem této diplomové práce je řízení ve věcech obchodního rejstříku, tedy řízení před civilními soudy o zápisech právně relevantních skutečností do obchodního rejstříku. Obchodní rejstřík je především pro obchodní vztahy s účastí podnikatelů významným institutem, který zajišťuje transparentnost podnikatele prostřednictvím evidence relevantních informací, které se podnikatele týkají, a takové informace dále veřejně zpřístupňuje třetím osobám. Dosáhnout požadovaného zápisu do obchodního rejstříku je vedle využití možnosti obrátit se na notáře možné právě prostřednictvím soudního řízení před civilními (tzv. rejstříkovými) soudy, které o nich rozhodují. Ambicí této práce je popsat, analyzovat a kriticky zhodnotit stávající právní úpravu řízení ve věcech obchodního rejstříku, resp. současný právní stav jeho důležitých institutů, jakož i poukázat na sporné otázky a nastínit jejich možná řešení. V neposlední řadě je cílem této práce identifikovat nedostatky stávající právní úpravy a předestřít možnosti jejich řešení. Provedením závěrečné komparace s právní úpravou Spolkové republiky Německo a poukázáním na její významné aspekty je rovněž usilováno o vytvoření komplexního pojednání o zvoleném tématu práce.
