Právní postavení člena statutárního orgánu řízené akciové společnosti

Abstract

(CZ) Diserta č n í pr á ce se zab ý v á problematikou právního postavení člena statutárního orgánu akciové společnosti v situaci, kdy do jeho působnosti zasahuje vliv řídící osoby koncernu. Pozornost je věnována zejména vymezení hranic péče řádného hospodáře a otázce závaznosti koncernových pokynů. Při zpracování disertační práce byly využity obecné metody vědecké práce, jako je dedukce, analýza, syntéza a deskriptivní metoda. Dále byly využity specifické metody formálně právní, a to výklad gramatický, výklad logický a výklad systematický (umístění norem z hlediska právního předpisu, systému soukromého práva, jakož i z hlediska celého českého právního řádu). Podpůrně byl využit výklad historický (úpravu před rekodifikací soukromého práva) a teleologický (argumentace smyslem koncernového práva). Dále byla při zpracování disertační práce ve značné míře použita metoda komparativní. Jedná se jak o srovnání s vybranými zahraničními úpravami (německou, britskou a francouzskou), tak o srovnání s úpravou na komunitární úrovni. Disertační práce tak předkládá vyčerpávající analýzu právní úpravy i judikatury. Disertační práce je pro lepší přehlednost členěna do čtyř kapitol, z nichž každá obsahuje vlastní úvod a závěrem dílčí shrnutí. (EN) The dissertation deals with the issue of the legal status of a member of the statutory body of a joint stock company in a situation when the influence of the concern's controlling entity interferes with his/her powers. Attention is paid in particular to the definition of the boundaries of due care and to the binding nature of the concern's guidelines and instructions. In preparing the dissertation, general methods of scientific work, such as deduction, analysis, synthesis and the descriptive method, were used. In addition, specific formal legal methods were employed, namely grammatical interpretation, logical interpretation and systematic interpretation (considering the context and place of the provisions from the point of view of the legal regulation, the system of private law, as well as from the point of view of the entire Czech legal system). As supporting methods, historical interpretation (the rules prior to the recodification of private law) and teleological interpretation (reasoning that uses the meaning of corporate law) were applied. Furthermore, the comparative method was used to a considerable extent in the preparation of the dissertation.
