Právní aspekty kryptoměnových burz a směnáren

Abstract

Tato rigorózní práce se zabývá právními aspekty kryptoměnových burz a směnáren. Cílem této rigorózní práce je zanalyzovat právní postavení kryptoměnových burz a směnáren, resp. jejich provozovatelů, a to z hlediska platného českého a evropského práva, stejným způsobem zanalyzovat také Initial Exchange Offering, navrhnout případné změny právní úpravy a poskytnout komparativní náhled na právní postavení kryptoměnových burz a směnáren ve vybraných státech světa. V první části práce jsou nejprve stručně představeny kryptoměny a je zde rovněž popsána jejich právní povaha. Dále jsou v této části popsány kryptoměnové burzy a směnárny i odlišnosti mezi nimi, stejně jako rozdíl mezi kryptoměnovou burzou či směnárnou a jejím provozovatelem. Ve druhé části jsou analyzovány předpisy českého a evropského práva ve vztahu ke kryptoměnovým burzám a směnárnám. Jako první jsou rozebrány různé oblasti finančního práva, a to konkrétně směnárenská a burzovní činnost, podnikání na kapitálovém trhu, platební styk a právo daňové. Mimo obor finančního práva jsou dále analyzovány oblasti boje proti praní špinavých peněz, živnostenského podnikání a ochrany osobních údajů, včetně tzv. cookies. This rigorous thesis discusses the legal aspects of cryptocurrency trading platforms and exchanges. The aim of this rigorous thesis is to analyse the legal status of cryptocurrency trading platforms and exchanges, or rather their operators, in terms of applicable Czech and European law, and in the same way analyse the Initial Exchange Offering, propose possible changes in legislation and provide a comparative view of the legal status of cryptocurrency trading platforms and exchanges in selected countries. The first part of the thesis briefly introduces cryptocurrencies and describes their legal nature. Furthermore, this section describes cryptocurrency trading platforms and exchanges and the variances between them, as well as the difference between a cryptocurrency trading platform or an exchange and its operator. The second part analyses the Czech and European legislation relating to cryptocurrency trading platforms and exchanges. First, various areas of financial law are discussed, namely currency exchange and stock exchange activities, capital markets business, payments, and tax law.
